nMetric, LLC ("we," "us," or "our") respects your privacy and is committed to protecting your personal data. This Privacy Notice (“Notice”) describes how we collect, use, and share information when you visit our website at www.nmetric.com (the "Site") or use our software-as-a-service scheduling application powered by our patented AI Genetic Algorithm technology (the "Service").
Please note that this Notice applies to our status as a Data Controller regarding visitors and account holders. Where we process data on behalf of our business clients (such as employee schedules or manufacturing orders), we act as a Data Processor, and those activities are governed by our Terms of Service and Data Processing Addendum.

A. Information You Provide to Us
We collect information you provide directly to us, including:
· Account Information: When you register for the Service, we collect contact details such as your name, email address, phone number, company name, and billing information.
· Support and Other Communications: If you contact us for support or other communications, we collect the content of your messages and any contact details provided.
B. Information Collected via
the Service ("Service Data")
In providing our scheduling solution, our clients upload various data types into our system. While we host this data, we process it solely on behalf of our clients. This data may include:
· Resource Details: Names, capabilities, availability, and contact information of your personnel or contractors.
· Order & Operational Data: Build part numbers, routing instructions, Bills of Materials (BOMs), customer names, and other proprietary manufacturing or logistics details.
C. Information Collected
Automatically
When you visit our Site or use our Service, we may automatically collect:
· Usage Data: Internet Protocol (IP) address, browser type, operating system, and interaction logs (e.g., pages visited, features used).
· Cookies: We use cookies to authenticate users and analyze Site performance.
D. Sensitive Data
We do not intentionally collect sensitive personal data (such as racial or ethnic origin, religious beliefs, health information, precise geolocation data, biometric data, genetic data, or data from known children) through our Site or Service. If our clients upload sensitive data categories into the Service, they are responsible for ensuring such collection and processing complies with applicable law, including obtaining any required consents.

We use the information we collect for the following business purposes:
· To Provide the Service: Creating accounts, processing payments, and enabling the scheduling algorithms (including our patented Genetic Algorithm technology) to function.
· To Improve Our Products: Analyzing usage patterns to enhance our scheduling logic and user interface.
· Customer Support: Diagnosing technical issues and responding to inquiries.
· Security & Compliance: Detecting security incidents, protecting against malicious activity, and complying with legal obligations.
Important Notice Regarding Artificial Intelligence and Large Language Models: nMetric does not collect, use, or sell personal data for the purpose of training large language models (LLMs) or other generative AI systems. Our AI Genetic Algorithm technology is used solely to optimize scheduling and resource allocation within the Service and does not involve training AI models on customer personal data.

How We Share Information
We do not sell your personal information to third parties. We may process personal data for targeted advertising purposes as described in Section 5 (Cookies and Other Technologies) and Section 6 (Targeted Online Advertising and Social Media) below.
We may share your information in the following limited circumstances:
· Within nMetric: To other affiliates and subsidiaries in our normal business operations and as needed to address our structure.
· Service Providers & Partners: We share data with trusted third-party vendors, consultants, and contractors who perform services for us (e.g., cloud hosting providers, payment processors, customer support tools). These entities are contractually obligated to protect your data and may only use it to provide services to us.
· Affiliates and Employees: Your information is accessible to our internal employees and authorized contractors who require access to perform their job functions (e.g., engineering support, account management).
· Advertising Service Providers and Third Parties: We share data to analytics providers and advertising service providers and third parties. For example, if you have accepted Targeted Advertising cookies using our Cookie Preference tool, then we may track your website usage (such as the pages you view and actions you have taken on our website) and show you relevant nMetric ads on your social media or on other off-platform sites.
· Legal Requirements: We may disclose information if required to do so by law or in the good-faith belief that such action is necessary to comply with state and federal laws or a court order.
· Business Transfers: If we are involved in a merger, acquisition, or sale of assets, your information may be transferred as part of that transaction.

and Other Technologies
We use cookies, tags, pixels, web beacons and other tracking technologies to recognize when a Site user visits our Sites or interacts with our e-mails to gather information when you interact with our Services and use our Site. Some online tracking technologies help us maintain the security of our Services, prevent crashes, fix bugs, save your preferences, and assist with basic site functions. We also permit third parties and service providers to use online tracking technologies on our Services for analytics and advertising, including to help manage and display advertisements, to tailor advertisements to your interests, or to send abandoned shopping cart reminders (depending on your communication preferences). Targeted Online Advertising and Social
Media
Service providers and third parties that collect information about users’ activities on our Sites or in our mobile applications may be members of organizations or programs that provide choices to individuals regarding the use of their browsing behavior or mobile application usage for purposes of targeted advertising.
In addition to your opt out rights in this Notice, Users may opt out of receiving targeted advertising on websites through participating members of the following organizations or programs:
· Network Advertising Initiative (USA)
· Digital Advertising Alliance (USA)
Users of mobile applications may opt out of receiving targeted advertising in mobile applications through participating members of the Digital Advertising Alliance by installing the AppChoices mobile application, available here, and selecting the user’s choices. In addition, mobile device settings may provide functionality to limit our, or our advertising service providers’ and third parties’, ability to engage in ad tracking or targeted advertising using the Google Advertising ID or Apple ID for Advertising associated with mobile devices.
Please note that we also may work with companies that offer their own opt-out mechanisms.
Opting out of targeted advertisements does not eliminate advertisements. The advertisements will still appear but may no longer be relevant to the viewer. Even if a website user opts out of targeted advertising not all companies that serve online behavioral advertising are included in this list, and so you may still receive some cookies and tailored advertisements from companies that are not listed.
nMetric uses Google signals to associate data collected during visits to our site with Google information from users who are signed into their Google accounts and have consented to ads personalization. Google signals help identify and de-duplicate users across multiple devices and helps us produce relevant remarketing advertising.
Users can opt out of Google ads personalization by logging into their Google account and navigating to https://myactivity.google.com/myactivity.
Marketing Communications
Marketing communications such as emails and newsletters can be stopped at any time by clicking “Unsubscribe” at the bottom of all nMetric communications. Even after opting out to the above, individuals may continue to receive transactional, service-related, other non-marketing communications, and general, non-personalized nMetric advertisements.

Your Data Rights
You may have certain rights regarding your personal information under applicable law. These may include:
· Right to Confirm and Access: You may request confirmation of whether we are processing your personal data and, if so, access to that data, including any inferences derived from such data.
· Right to Correction: You may request that we correct inaccuracies in your personal data.
· Right to Deletion: You may request that we delete your personal data, subject to certain legal exceptions.
· Right to Data Portability: You may request a copy of your personal data in a portable, readily usable format.
· Right to Opt Out: You may opt out of (i) the sale of personal data, (ii) targeted advertising, and (iii) profiling in furtherance of decisions that produce legal or similarly significant effects. Note: nMetric does not sell personal data or engage in targeted advertising.
· Right to Obtain List of Third Parties: In certain states (including Connecticut, Oregon, and Minnesota), you may request a list of the specific third parties to whom we have disclosed your personal data.
· Right to Appeal: If we deny your request to exercise any of these rights, you may appeal our decision. We will respond to appeals within 60 days.
How to Exercise Your Rights: To exercise any of these rights, please contact us at privacy@nmetric.com. You may also designate an authorized agent to submit requests on your behalf.
Universal Opt-Out Mechanisms: Where required by applicable law, we honor opt-out preference signals (such as Global Privacy Control).
Non-Discrimination: We will not discriminate against you for exercising any of your data rights.
Note Regarding Service Data: If you are an employee of one of our clients and wish to exercise your rights regarding data held in our scheduling system, please contact your employer (our Client) directly, as they are the Data Controller.

Use of Artificial Intelligence and
Automated Decision-Making
nMetric uses patented AI Genetic Algorithm technology to power our scheduling optimization Service. This technology:
· Matches tasks to appropriate resources based on attributes, skills, and capabilities
· Optimizes scheduling based on resource availability and business constraints
· Generates scheduling recommendations and predictions
· Enables "what-if" scenario analysis for testing scheduling changes
Disclosure of AI Interaction: When users interact with features of our Service that incorporate artificial intelligence or automated decision-making, such interactions occur within the context of our scheduling tools. Users should be aware that the scheduling recommendations, resource matching, and optimization outputs are generated by our AI Genetic Algorithm system.
Decision Support Tool: Our Service acts as a decision-support tool. While we strive for accuracy in our scheduling algorithms, all scheduling outputs are recommendations that should be reviewed by qualified personnel before implementation. nMetric is not responsible for decisions made by users based solely on AI-generated outputs.
Profiling and Automated Decisions: If our AI system is used by a client in a manner that constitutes profiling that produces legal or similarly significant effects concerning individuals (such as employment scheduling decisions), the Client, as Data Controller, is responsible for:
· Providing appropriate notice to affected individuals
· Offering individuals the opportunity to opt out of such profiling where required by law
· Conducting required impact assessments
· Ensuring human review of consequential automated decisions where legally required

Data Minimization and Retention
We limit the collection of personal data to what is reasonably necessary and proportionate to provide our Services and for the purposes disclosed in this Privacy Notice. We do not collect personal data for the sole purpose of content personalization or marketing without consent.
We retain personal data only for as long as reasonably necessary to fulfill the purposes for which it was collected, to comply with legal obligations, resolve disputes, and enforce our agreements. When personal data is no longer needed, we securely delete or anonymize it.
10. Data
Security
We implement industry-standard technical and organizational measures designed to secure your personal information and proprietary Service Data (including BOMs and routing details) from accidental loss and from unauthorized access, use, alteration, and disclosure.
11. Children’s
Privacy
Our Service is designed for business use and is not directed at children under the age of 16. We do not knowingly collect personal information from children. If our clients upload data concerning minors into the Service, they are responsible for ensuring compliance with applicable laws.
12. Changes
to This Privacy Notice
We may update this Notice from time to time. If we make material changes, we will notify you by posting the updated policy on our Site and updating the "Last Updated" date. If we make any retroactive material changes to our privacy practices that would affect personal data already collected, we will provide notice and, where required by law, an opportunity to withdraw consent to materially different processing activities.
